Terms of Service

These Terms of Service (the "Terms") govern your use of zyvero.co.uk (the "Website") and any purchase of goods through the Website. By using the Website or placing an order you accept and agree to be bound by these Terms. Please read them carefully and print or save a copy for your records.

1. Identification of the service provider

The Website is operated by:

  • Trading name: ZYVERO (legal entity name pending registration).
  • Registered address: Calle Río Padrón 22, 29651 Fuengirola, Málaga, Spain.
  • Tax ID (NIF): available on written request.
  • Email: hello@zyvero.co.uk.
  • Activity: retail sale by distance of clothing and accessories.

Information provided pursuant to Article 10 of Spanish Law 34/2002 on Information Society and E-Commerce Services (LSSI-CE) and regulation 6 of the UK Electronic Commerce (EC Directive) Regulations 2002.

2. Acceptance and modification of the Terms

By placing an order you confirm that you are at least 18 years old and have the legal capacity to enter into binding contracts. We may amend these Terms at any time; the version in force at the time of your order is the one that applies to that order. Older versions are archived and available on request.

3. Pre-contractual information

Before placing an order you have access to: the main characteristics of the goods, the total price (including taxes and shipping), delivery arrangements, the right of withdrawal and the model withdrawal form, our identity and address, the existence of the statutory guarantee of conformity, and these Terms. This information forms an integral part of the contract.

4. Contract formation

An order placed on the Website is an offer to purchase. The contract is concluded when we send you an order-confirmation email accepting your offer. Until that confirmation is sent, we may decline the order if: an item is out of stock, the price displayed contained an obvious error, payment authorisation fails, or fraud is suspected. In such cases we will refund any payment in full without undue delay.

5. Pricing, currency and payment

Prices are displayed in GBP (£) for UK customers and in EUR (€) for EU and Spanish customers, including all applicable taxes (UK VAT 20 %, Spanish IVA 21 %, or the destination-country VAT for other EU deliveries). The total amount, including shipping, is shown before order confirmation. We accept the payment methods displayed at checkout (Shopify Payments, major credit/debit cards, PayPal). Payment is processed at the time of order.

6. Delivery

See our Shipping Policy. Risk passes to you on delivery (UK Consumer Rights Act 2015 s.29 / RDL 1/2007 Art. 66 ter). Title passes when we receive full payment.

7. Right of withdrawal and returns

You have a 14-day statutory right of withdrawal, extended by us to 30 days as a goodwill policy. Full conditions, the model withdrawal form, and exceptions are set out in our Refund & Returns Policy.

8. Statutory guarantee of conformity

UK customers benefit from the protections of the Consumer Rights Act 2015. Spanish and EU customers benefit from the 3-year legal warranty of conformity under Royal Legislative Decree 1/2007, as amended. Full details in our Refund & Returns Policy.

9. Intellectual property

All content on the Website — including the "ZYVERO" name and logo, product photography, copywriting, layout and source code — is owned by us or licensed to us, and is protected by UK Copyright, Designs and Patents Act 1988, Spanish Royal Legislative Decree 1/1996, and international copyright and trademark law. You may not reproduce, distribute, modify, or create derivative works without our prior written consent. Personal, non-commercial browsing is permitted.

10. Acceptable use

You agree not to: misuse the Website, attempt to gain unauthorised access, transmit viruses or harmful code, scrape content automatically, place fraudulent orders, or use the Website for any unlawful purpose. We reserve the right to suspend accounts that breach this clause.

11. User-generated content

If you submit a review or other content, you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce and display that content in connection with the Website and our marketing. You represent that the content is yours and does not infringe any third-party right.

12. Liability

Subject to the next paragraph, our total liability for any claim arising out of or in connection with an order is limited to the value of that order. We are not liable for indirect, consequential or business losses.

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any breach of the implied terms as to title; any other liability that cannot be excluded under UK or Spanish consumer-protection law. Your statutory rights as a consumer are unaffected.

13. Force majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including strikes, lock-outs, natural disasters, war, civil unrest, pandemics, government action, network outages, or carrier disruption.

14. Personal data

We process personal data in accordance with our Privacy Policy and our Cookies Policy.

15. Governing law and jurisdiction

UK consumers: these Terms and any contract concluded under them are governed by the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction. As a consumer, you also retain the right to bring proceedings in the courts of your country of residence.

Spanish and EU consumers: these Terms and any contract concluded under them are governed by Spanish law. The courts of Málaga have non-exclusive jurisdiction. Under Article 6 of Regulation (EC) No 593/2008 (Rome I), nothing deprives the consumer of the protection afforded by mandatory provisions of the law of the consumer's habitual residence.

16. Online dispute resolution and consumer mediation

In accordance with Regulation (EU) No 524/2013, the European Commission provides an Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr. UK consumers may also contact Citizens Advice. We have not adhered to any private code of conduct or arbitration scheme; we will respond to any complaint raised through the ODR platform.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.

18. Entire agreement

These Terms, together with the Privacy Policy, Cookies Policy, Refund & Returns Policy and Shipping Policy, constitute the entire agreement between you and us in relation to your purchase, and supersede any prior agreement, representation or understanding.

19. Language

The Website is provided in English. Contracts are concluded in English. A Spanish summary translation is available on request but the English version prevails in case of discrepancy.
